The Senior Corporate Counsel will play a key role in supporting Salesforce’s South East Asia and India Sales organizations in structuring, negotiating, and closing complex commercial technology transactions across enterprise and regulated sectors, including public sector customers. This individual will support a broad range of technology and commercial matters, including cloud, SaaS, AI, data, and strategic partner transactions, while providing practical, business-oriented legal guidance in a fast-paced, high-growth environment.

The role requires a commercially minded and technology-savvy lawyer with strong strategic and critical thinking skills, sound judgment, and the ability to navigate complex and evolving legal and business issues. The successful candidate should be comfortable operating under pressure, managing competing priorities, and collaborating effectively across cross-functional teams. The individual will also bring leadership experience, including leading and mentoring a team of 2–5 legal professionals in India, while fostering a collaborative, high-performing, and positive team culture.

Roles & Responsibilities

  • Strategic Leadership & Teamwork: Lead, mentor, and support legal team members while collaborating with cross-functional stakeholders, including sales, pricing, revenue recognition, security, privacy, and sales operations teams, to support efficient deal execution and scalable contracting processes.

  • Public Sector & Commercial Contracting Expertise: Lead, negotiate, and close government contracts with ministries, public sector undertakings (PSUs), and regulatory bodies, ensuring compliance with Indian public procurement laws, GFR, and tendering processes, while also handling commercial transactions in India and South East Asia

  • Contract Execution Under Pressure: Review, negotiate, draft, and drive fast turnaround times on high-value agreements, including, cloud, SaaS agreements, professional services agreements, partner agreements, data processing addenda and AI transactions in support of the South East Asia and India sales, professional services, and alliances teams.

  • Lead & Deliver at Speed: Provide rapid, business-savvy legal advice while effectively managing legal risk and ensuring compliance across public and private sector transactions.

  • Cross-Functional Partnership: Work closely with sales, privacy, and security teams to ensure smooth and efficient deal execution, and that agreements are consistent with internal corporate policies and processes.

  • Alliances & Partner Transactions: Support negotiations related to reseller, distributor, and system integrator agreements, including ensuring compliance with public sector procurement requirements.

  • Dispute Resolution & Risk Mitigation – Advise on contract disputes, bid challenges, and regulatory inquiries, minimizing legal and operational risks.

  • Process Efficiency & Innovation:Identify and implement process improvements to support efficient contracting and scalable legal support, including leveraging AI and technology-enabled solutions to drive operational efficiency and enhance legal service delivery. Assist with developing training materials and delivering business-facing legal training on relevant topics and best practices.

Qualifications, Experience, and Skills

  • Minimum 9 years of legal experience, and a proven ability to work under tight deadlines in a fast-paced, rapidly evolving, and demanding industry.

  • Strong experience supporting complex commercial technology transactions, including cloud, SaaS, platform, data, AI, and partner ecosystem agreements.

  • Solid experience supporting public sector contracting in India, including familiarity with Indian procurement frameworks (GFR, e-Governance policies, and CVC guidelines), as well as broader enterprise technology transactions across regulated and private sector industries.

  • Demonstrated success negotiating and closing high-value commercial technology transactions with both government entities and private sector customers.

  • Experience working with Indian government ministries, PSUs, statutory boards, or public sector entities is highly desirable

  • Exceptional contract negotiation, drafting, and analytical skills, with strong legal and commercial judgment, attention to detail, and the ability to think strategically and navigate complex, high-pressure transactions.

  • Experience in commercial contracting across highly regulated sectors, including financial services (FINS) and healthcare is preferred.

  • Strong interest in and ability to engage effectively with emerging technologies and evolving technology-driven business models, including cloud computing, AI, cybersecurity, digital transformation, and data governance concepts.

  • A highly adaptable, technology-savvy, and commercially minded lawyer who is comfortable navigating ambiguity, rapid change, and evolving legal and regulatory landscapes.

  • Excellent verbal and written communication skills, with the ability to engage effectively with internal and external stakeholders.

  • Team-oriented, collaborative, and adaptable, with a proactive and solutions-focused mindset.

  • Prior leadership and people management experience is highly desirable.

  • Proven track record developing and maintaining strong working relationships with demanding internal clients.
