About the Role

In this role, as part of a forward-thinking digital asset firm serving over 700 clients, you'll part of our legal team navigating the complex tapestry of global regulations critical to our operations. Join our dynamic legal team in the role of Deputy General Counsel: Product & Capital Markets where you'll be a cornerstone in building and refining our product offerings. With your deep knowledge of complex commercial structures, you'll collaborate closely with our product, markets, and engineering teams to navigate the complexities of digital asset prime brokerage. This is a chance to leave your mark on a global organization with direct involvement in our expansion, providing you with the opportunity for significant collaboration with senior leadership and an active role in an evolving industry.

Responsibilities

  • Partner with cross-functional teams on product development and assess legal complexities of potential service offerings, features, acquisitions or mergers.
  • Draft and review terms for contracts, leading negotiations for the company's product, vendor, and partnership agreements. Provide expert advice on contractual rights, obligations, and term interpretation. Ensure all contracts meet legal and regulatory standards.
  • Evaluate and mitigate risks throughout the product lifecycle, providing guidance to product and engineering teams on potential implications. Develop policies and procedures to reduce legal exposure, and work in concert with compliance officers to uphold risk management standards.
  • Advise on privacy and data protection for product features and guide the team through legal intricacies of launching and updating products.

Requirements

  • Juris Doctor (JD) degree from an accredited law school
  • Admission to a State Bar and good standing
  • 10+ years in legal advisory role
  • 7+ years with product compliance in an international context
  • 5+ years with complex legal transaction negotiations
  • Direct experience in Financial Services or an Institutional FinTech company/product

Necessary Experience

  • Experience drafting and reviewing complex contractual terms
  • Expertise in digital asset transactions and compliance
  • Expansive knowledge of international financial services regulations
  • Knowledge of Capital Markets, Derivatives, Equities, Credit Lending, and Prime Brokerages
  • Capability to guide product and engineering teams on legal implications
  • Proven record of successfully building or refining product offerings in financial services
  • History of effective collaboration with cross-functional teams in a financial services environment
  • Track record of successfully navigating complex legal and regulatory environments
  • History of effective legal team management in the preparation of contractual documentation

Nice-to-haves

  • Experience at an existing cryptocurrency, digital asset, blockchain, or web3 organization
  • Exposure to Intellectual Property Law, Privacy Law, Mergers & Acquisitions, or regulatory bodies for the Financial Service industry (SEC, CFTC, NFA, etc.)
  • People management or department leadership

Compensation:

This is a full-time position with an expected annual compensation of $210,000.00 - $310,000. The actual compensation for a successful candidate may vary based on factors such as skill set, relevant experience, qualifications, and other relevant factors. This position also offers other forms of compensation and benefits consisting of overtime compensation (when applicable), relocation assistance (if applicable), performance-linked bonus, paid time off (including sick time) benefits, paid Company holidays, participation in the Company’s equity and 401k retirement plan, competitive employee health, dental, and vision benefits each subject to the terms and conditions of the governing plan documents and Company policies.
