Who we’re looking for

We are seeking an experienced, business-oriented General Counsel to lead and scale our legal function. This role is critical in enabling Gloat’s continued growth as a global company, supporting commercial execution, managing risk, and building frameworks that empower the business to move quickly and compliantly. The ideal candidate is pragmatic, solution-driven, and comfortable operating in a fast-paced environment where legal is a strategic partner - not a bottleneck.

Responsibilities

Strategic Leadership

  • Serve as a trusted advisor to executive leadership on legal, regulatory, and strategic matters
  • Build and execute the legal roadmap aligned with company goals
  • Balance risk management with business enablement and speed

Commercial & Product Support

  • Oversee and optimize contracting processes (enterprise SaaS agreements, Agentic AI Agreements, partnerships, procurement)
  • Support complex negotiations with customers and strategic partners
  • Provide legal guidance on new products and features, including AI-related offerings

Corporate, Financing & Governance

  • Build legal infrastructure to support financing rounds and strategic transactions
  • Support investors with legal matters, reporting, and governance requirements
  • Oversee corporate governance and ensure compliance with applicable laws
  • Manage ESOP / equity plans, including options administration and governance

Risk Management & Operations

  • Lead and orchestrate the company’s insurance programs (D&O, cyber, etc.)
  • Manage and oversee litigation and disputes (when required)
  • Handle real estate and lease-related legal matters
  • Develop and maintain internal policies and governance frameworks
  • Build scalable legal processes and playbooks to enable business self-service
  • Manage external counsel relationships in a cost-effective, high-impact manner

Privacy, Data Protection & Regulatory

  • Own and oversee global privacy and data protection strategy (GDPR, CCPA, etc.)
  • Work closely with and manage the external DPO
  • Ensure compliance with evolving regulatory frameworks, including:
  • EU AI Act
  • DORA (Digital Operational Resilience Act)
  • Bill 144 and other applicable regulations
  • Build scalable frameworks for handling PII and sensitive data
  • Partner with Security, Product, and Engineering on compliance-by-design

IP & Brand Protection

  • Oversee trademark strategy, registration, and enforcement
  • Manage broader intellectual property matters as needed

Team & Cross-Functional Work

  • Oversee all legal matters, including the management of external consultants
  • Partner closely with Sales, Product, HR, Finance, and Security teams
  • Act as a key enabler of internal decision-making and execution

Requirements

● 7+ years of legal experience, including significant in-house experience (preferably in SaaS / tech)

● Proven experience as a General Counsel or senior legal leader in a high-growth company

● Deep expertise in commercial contracts, especially enterprise SaaS agreements

● Strong understanding of privacy, data protection, and emerging tech regulation 3

● Experience supporting global operations and cross-border legal matters

● Hands-on experience with financing rounds, investor relations, and corporate governance

● Demonstrated ability to balance legal risk with business needs
