Role Objective

  • Provide legal direction and manage contractual matters and related regulatory issues, including compliance on contractual arrangements and commercial transactions.
  • Develop a corporate and socially sustainability framework by advising on good governance practices and compliance of corporate governance norms as prescribed under various corporate, securities, and other business laws.
  • Examination and approval of contractual and legal documents, vetting forms of agreements, contracts, sub-contracts and non-standard conditions.

Role Responsibilities

  • Act as the primary legal advisor to the Executive Leadership team on all legal matters incl. legal agreements/ business contracts/JV agreements/ MOU / all legal aspects of mergers & acquisitions, restructures, strategic alliances etc.
  • Own the end-to-end management of the Company's litigation portfolio, including civil, commercial, labor, consumer, contractual, and regulatory matters, while ensuring effective risk mitigation and favorable business outcomes.
  • Develop and execute the Company's legal strategy in alignment with organizational objectives.
  • Provide proactive legal guidance on strategic initiatives, business expansion, partnerships, and commercial transactions.
  • Identify, assess, and mitigate legal and regulatory risks across the organization.
  • Lead the structuring, negotiation, review, and execution of high-value and complex agreements, including customer contracts, vendor agreements, technology partnerships, licensing arrangements, NDAs and other business arrangements.
  • Establish contract governance frameworks and approval mechanisms.
  • Oversee all litigation, arbitration, regulatory proceedings, investigations, and dispute resolution matters.
  • Define litigation strategy and manage relationships with external counsel, law firms, and regulatory authorities.
  • Monitor evolving laws, regulations, and industry developments and advise leadership on their implications.
  • Filing, registering any document including forms, returns, and applications by and on behalf of the company.
  • Stay up to date with evolving industry/regulatory changes impacting the business and participate in appropriate control forums.

Work Experience

  • 15+ years of progressive experience in corporate legal, commercial transactions, litigation management, compliance, and enterprise risk management.
  • Proven experience leading the legal function of a mid-to-large-sized organization (Essential).

Knowledge/ Skills

  • Good communication & people management skills.
  • Sound knowledge of interpretation of law, understanding of business.
  • High level of ownership, willingness to set up things from scratch.
