Role: Company Secretary

Location: Bangalore

Role Overview

As Company Secretary & Legal, you will manage CS activities end-to-end, ensure corporate

governance compliance, and vet legal documents. You will liaise with internal teams, regulators,

and stakeholders to protect the company's legal interests and support smooth operations.

Additionally, you will ensure regulatory updates are reflected in the Probe42 product.Key Responsibilities

Company Secretary Functions

• Ensure compliance with the Companies Act, 2013, SEBI regulations, FEMA, and other

corporate laws.

• Manage Board, Committee, and Shareholders’ meetings, including agenda preparation,

minutes drafting, and resolutions.

• Maintain statutory records and handle regulatory filings with the Registrar of Companies

(ROC).

• Oversee corporate governance and compliance with internal policies.

• Ensure timely filing of annual returns, financial statements, and other regulatory reports.

Legal & Contract Management

• Draft, review, and negotiate contracts, agreements, NDAs, and other legal documents.

• Identify and mitigate legal risks while protecting the company’s interests.

• Work closely with external legal counsel for litigation, regulatory, and compliance

matters.

• Conduct due diligence and risk assessment for business contracts.

• Worked on transactions such as M&A, strategic partnerships, and other corporate deals.

Product & Regulatory Updates

• Monitor changes in MCA, SEBI, RBI, and other regulatory frameworks.

• Ensure timely updates to the Probe42 product to reflect legal and compliance changes.

• Collaborate with internal teams to enhance product accuracy based on regulatory

developments.

• Provide legal insights to improve product features and compliance-related data points.

Stakeholder Management & Liaison

• Act as a key liaison between internal departments, regulatory authorities, and external

consultants.

• Provide legal and compliance advisory support to business teams.

• Address regulatory queries and manage corporate legal matters effectively.

Ideal Candidate Profile

Qualifications :

• Qualified Company Secretary (CS) with ICSI membership; LLB degree preferred

Experience:

• 4-6 years’ experience

• Strong knowledge of corporate governance, contract negotiation, and compliance

• Experience working on M&A, strategic partnerships, and other corporate transactionsSkills:

• Expertise in corporate law and regulatory compliance

• Strong contract drafting and legal document vetting skills

• Excellent stakeholder management and communication skills

• Analytical mindset with attention to detail and problem-solving abilities

• Ability to interpret and implement regulatory changes into business processes and

products
