About the Role
We’re looking for a Corporate Counsel to be our first in-house lawyer — and to build the legal foundation the company needs as we move from seed-stage into serious commercial and operational scale. This is not a narrow role. You’ll own everything from day-to-day contracts and commercial agreements to fundraising support, employment matters, IP, and compliance.
You’ll have access to outside counsel for specialized work, but we expect you to handle the majority of legal work internally, manage outside counsel efficiently, and bring genuine judgment — not just process — to everything you touch.
You’ll report directly to the Head of Finance & Operations and work in close partnership with the founders. This is a rare opportunity to define what great looks like for Legal at RadixArk — and to build it yourself.
This role is not for the faint of heart. We move fast, operate with a sense of urgency, and expect the same from everyone on the team.
What You’ll Own
Commercial Contracts
- Negotiate, structure, and close commercial agreements — MSAs, SaaS agreements, vendor contracts, and partnership deals — representing the company’s interests while keeping deals moving
- Own and manage NDA workflow end-to-end: reviewing inbound requests, redlining where appropriate, coordinating signatures, and maintaining a clean filing system
- Support, structure, and negotiate customer-facing revenue agreements as commercial activity scales; manage the related legal workstreams from first draft through execution
- Escalate novel structures or terms that create downstream risk; flag issues that matter while letting routine matters close without unnecessary friction
- Own our contracts repository and lifecycle management — tracking renewals, key dates, and obligations, and building lightweight processes to keep everything organized
Corporate & Fundraising
- Support strategic transactions, partnerships, financing, and any M&A or acqui-hire activity; understand how deal structures interact with operational and business objectives
- Support cap table integrity — stock option grants, 409A processes, and board and stockholder consents — in close partnership with finance and outside counsel
- Manage corporate governance — maintaining records, coordinating board and committee matters, and ensuring the company is properly structured as it scales
IP & Compliance
- Oversee IP protection — trademark filings, patent processes with outside counsel, and ensuring IP assignment and ownership is airtight across employees and contractors
- Monitor applicable regulatory and compliance requirements; provide proactive legal risk management rather than reactive triage
Outside Counsel Management
- Work closely with specialized outside counsel across practice areas, ensuring their work product aligns with the company’s commercial objectives and moves at the pace the business requires
- Make smart build-vs.-refer decisions: handle what you can internally, escalate what genuinely requires specialization
Who You Are
- Available for a hybrid schedule with 3 days per week onsite at our Palo Alto office
- 4–7 years of legal experience, with a combination of law firm training and in-house experience at a technology company preferred
- JD required; active bar membership in California (or eligibility for registered in-house counsel status)
- Comfortable across a broad range of legal work — commercial contracts, corporate, employment, and IP — without needing to escalate routine matters
- Strong redlining and negotiation skills across NDAs, MSAs, SaaS agreements, vendor contracts, and similar commercial documents
- Experience supporting equity financings or working on transactions alongside outside counsel
- Sound judgment about what matters and what doesn’t — you don’t over-lawyer, and you understand that your job is to help the business move, not slow it down
- Highly organized and self-directed — comfortable owning a broad portfolio without a legal team around you
- Low ego, high output — you’re willing to do the work at whatever level it needs to happen
- Integrity-first: we place a high premium on character and judgment in this role
