About the Role

We are looking for a highly motivated and detail-oriented Secretarial & Compliance professional to manage corporate governance, regulatory compliance, and secretarial functions across group companies. The role requires extensive experience in Companies Act compliances, FEMA regulations, SEBI regulations, and coordination with various stakeholders including investors, auditors, regulators, legal advisors, and internal business teams. The ideal candidate should possess strong technical knowledge, excellent stakeholder management skills, and the ability to independently handle end-to-end secretarial and compliance activities in a fast-paced environment.

Responsibilities

Corporate Secretarial & Companies Act Compliance

  • Draft, review, and finalize notices, agendas, resolutions, and minutes for Board Meetings, Committee Meetings, and General Meetings.
  • Ensure compliance with the provisions of the Companies Act, 2013 and related rules.
  • Maintain and update statutory registers, records, and corporate secretarial documentation.
  • Manage procurement and maintenance of ISINs for securities and coordinate with investors for dematerialization requirements.
  • Liaise with Registrars & Transfer Agents (RTA), statutory auditors, secretarial auditors, legal advisors, and internal stakeholders.
  • Provide legal and secretarial opinions on company law and governance matters.
  • Handle private placement and preferential allotment of securities.
  • Manage corporate actions including buyback, bonus issue, rights issue, and other capital restructuring activities.
  • Administer and oversee ESOP implementation, grants, vesting, exercises, and compliance requirements.
  • Maintain compliance trackers, statutory calendars, and reporting dashboards.
  • Obtain and monitor periodic disclosures, declarations, and related-party disclosures from directors and key managerial personnel.
  • Support due diligence exercises, audits, and investor compliance requirements.
  • Draft and execute alterations to charter documents, including Memorandum and Articles of Association.
  • Manage compounding applications and related proceedings under the Companies Act, 2013.
  • Handle compliance related to inter-corporate loans, guarantees, investments, overdrafts, and other treasury-related transactions.

FEMA & RBI Compliance

  • Ensure compliance with applicable FEMA provisions and RBI regulations.
  • Prepare and file regulatory forms including:
  • FC-GPR
  • FC-TRS
  • FLA Return
  • Other RBI/FEMA-related filings as applicable.
  • Coordinate with Authorized Dealer Banks, investors, consultants, and regulatory authorities.
  • Handle compounding applications and regulatory submissions under FEMA.

SEBI Compliance

  • Support compliance with applicable SEBI regulations including:
  • SEBI (ICDR) Regulations
  • SEBI (LODR) Regulations
  • Other applicable SEBI regulations and circulars.
  • Assist in regulatory filings, disclosures, governance requirements, and listing-related compliance matters.

Regulatory Compliance

  • Ensure compliance with requirements under:
  • Insurance Regulatory and Development Authority of India (IRDAI) regulations.
  • NBFC Base Layer regulatory framework and associated compliance obligations.
  • Monitor regulatory developments and implement required changes across group entities.

Governance & Stakeholder Management

  • Work closely with leadership, finance, legal, tax, and business teams to ensure regulatory compliance.
  • Coordinate with external consultants, regulators, auditors, and investors on compliance-related matters.
  • Drive process improvements, automation, and standardization of compliance activities across group companies.

Qualifications

  • Qualified Company Secretary (CS) is mandatory.
  • Additional qualification such as LLB or CA Inter will be an added advantage.
  • 4–5 years of relevant experience in Secretarial, Compliance, and Corporate Governance functions.
  • Experience working in listed companies, NBFCs, regulated entities, or high-growth organizations is preferred.

Required Skills

  • Strong knowledge of the Companies Act, 2013 and Secretarial Standards.
  • Good understanding of FEMA, RBI regulations, and foreign investment compliances.
  • Exposure to SEBI regulations, including ICDR and LODR.
  • Experience in ESOP administration and corporate actions.
  • Strong drafting, documentation, and analytical skills.
  • Excellent stakeholder management and communication abilities.
  • Ability to manage multiple entities and compliance timelines simultaneously.
  • High attention to detail and strong ownership mindset.
