Job Description

Position: Company Secretary + Head of Accounts and Finance for a Private Ltd, FinTech Company

2. Reporting to : Director Qualification: - Graduate in any discipline and qualified Company Secretary from ICSI. & Qualified Chartered Accountant / Semi qualified ICAI - LLB (Desirable)

3. Experience: 1-3 yrs experience with excellent knowledge of Statutory matters, Regulatory matters, Secretarial jobs and documentation required under Company Law in a multi entity group with a widely held share holding. Should also have experience of issuance of Securities in an IPO /QIP /IPP / Rights issue

4. Age: 25-35 yrs

5. Position Summary: ? Oversee Secretarial Functions under the Companies Act, 2013 and Rules, Regulations and Guidelines made there under and other applicable Corporate Laws including SEBI laws and listing regulations; ? Ensure proper compliance of all applicable laws & maintain standards of corporate governance, Organizing BOD and committee meetings, AGMs. ? Oversee court related matters involving Mergers / issuance of Right issue etc. and oversee all Securities issuances / handling of existing shareholders / Interacting with Investor Advisory Firms

6. Job Responsibilities: o Compliances under Companies Law and Regulatory matters Ensuring compliance under the Company's Act 2013 as amended from time to time and other acts in respect of Company. and its subsidiary companies. Ensure maintenance of all records and returns as required under various statutes under Company Law. Keeping the Certificate of Incorporation and Memorandum and Articles of Association and copies of company forms in case of Company. and its subsidiaries. Discharging duties of Compliance Officer as per SEBI Laws, Ensuring compliance of SEBI Laws and Depositories Act including Corporate Governance as per Clause 49 of the Listing Agreement. Ensure compliance with stock exchange listing norms, SEBI guidelines, corporate governance report. Interface with Legal Advisor and Senior management pertaining to Mergers, Securities issuances etc. Matters pending with SEBI

7. Board Meetings/Shareholder's Meetings/AGM- S - Ensure that board meetings, shareholder meetings are held in accordance with the applicable laws - Prepare and maintain minutes, statutory books including registers of members, directors and secretaries; and filing of return with Registrar of Companies, and Government in respect of Company. and its subsidiaries - Organising the annual general meetings and coordinating publication of the annual report. - Deal with correspondence, collate information and write reports, ensuring decisions made are communicated to the relevant company stakeholders;

8. Investor Relations - Coordination with Registrar and Share transfer agency office ensuring proper maintenance of the register of shareholders and monitor changes in share ownership of the company.

9. General - Monitor changes in relevant legislation and the regulatory environment, and take appropriate action as and when required. - Develop and oversee the systems that ensure the company complies with all applicable codes, as well as its legal and statutory requirements. - Responsible for ensuring that company complies with standard financial and legal practice and maintains standards of good corporate governance.

10. Head of Accounts and Finance -Oversee the Accounts, Finance, taxation - Manages, supervises and provides guidance to employees within the Finance and Accounting Department. - Conducts all necessary training to keep the accounting team’s skills and knowledge up to date. - Plans, controls and implements the annual budgeting process. - Supervises the preparation of profit and cash flow forecasts, analyses and reports. - Supervises the preparation of annual accounts on timely manner - Prepares monthly/quarterly management reports and accounts ensuring they are produced on a timely basis (include KPI reports, budget, variance analysis, statistical data, and trends). - Coordinates between the different sections within the Department to complete assigned accounting tasks within deadlines. 8. Generates financial reports. - Analyses financial discrepancies and recommends effective solutions. - Monitors expenditures, analyzes revenues and determines budget variances. - Assists in auditing activities by providing the necessary information. - Ensures that all necessary documents are always requested, collected and compiled in a timely manner. - Monitors financial transactions and ensures compliance with the Companies policies and procedures. - Supervises the statutory compliance for direct tax and GST, PF, ESI, Gratutiy and labour laws. - Ensure the timely statutory payment such TDS, GST, PF ESI etc - Ensure time filing of statutory returns such as Quarterly TDS returns, monthly GST returns Etc

11. Ensure filing of annual return as per Income Tax, GST, Companies Act, and any other act.

12. Team Development & Management - Manage, motivate, develop team members to enable them to perform to their potential and deliver desired results at work.

13. Other requirement : - Excellent knowledge of compliances and regulatory matters required under Company Laws - Communication skills & presentation & documentation skills. -Microsoft word, excel, PowerPoint expertise knowledge -Tally ERP Knowledge essential - Analytical & Problem solving skills - Positive attitude - Ability and Experience of handling queries from Statutory Regulatory authorities
