About the role:

Cvent is seeking a business-oriented Assistant General Counsel with an “intrapreneurial” spirit. This is a tremendous opportunity to serve as a player/coach on an in-house legal team of commercial lawyers supporting Cvent’s sales and procurement functions. The Assistant General Counsel will report to Cvent’s General Counsel and will partner with Cvent’s Associate General Counsel and Commercial Legal Team, as well as Sales, Finance, Information Security, Technology, and Human Resources, among others, to help Cvent mitigate its risks to attain its high-growth goals.


In This Role, You Will:

Every day will bring new challenges and you can expect to be extremely busy. We are relying on you to stay organized and project manage a demanding workload. Your daily requirements include:
•Ability to lead a commercial legal negotiation, understanding how to balance key risks and opportunities in order to obtain a mutually acceptable contract in a way that protects the company’s interests but remains commercial.
•Draft, review, interpret, revise and negotiate terms of SaaS customer agreements, vendor and service provider contracts, and professional services agreements.
•With the oversight of Cvent’s General Counsel, and under the management of Cvent’s Associate General Counsel, Commercial, train and oversee team members’ commercial legal negotiations and manage workflow of team members responsible for commercial legal negotiations.
•Demonstrate capabilities in anticipating legal issues, accepting and effectively resolving sensitive legal projects, handling difficult situations diplomatically and independently.
•Collaborate with various business functions in connection with driving deal negotiations.
•Advise sales management of contractual rights and obligations and provide clarification of contract terms and conditions.
•Identify and analyze legal issues and risks, review and draft miscellaneous legal contracts, present clear recommendations, and ensure legal compliance across the full spectrum of legal issues facing the company.
•Other responsibilities may include providing legal advice on a wide range of commercial matters, such as intellectual property, data protection/privacy, regulatory compliance, and employment law, as well as company policies and procedures.
•Oversee India corporate governance and compliance.
•All other duties as assigned.

Here's What You Need:

• LLB from an accredited law school; must be licensed to practice law.
•15+ years of relevant experience; in-house preferred.
•Excellent drafting, negotiation and communication skills, as well as attention to detail.
•Experience managing a team while also remaining individually responsible for a full workload of negotiations and other matters.
•Commitment to bring practical and commercially-oriented judgment to bear in solving legal problems.
•Sound business acumen and knowledge of the business goals and objectives as they relate to the legal matter at hand.
•A problem solver who is action oriented and possesses a strong sense of execution and client relationship skills.
•Self-starter with ability to work under pressure, manage multiple projects and competing priorities, meet deadlines, and adapt to change within a growing company.
•Commitment to stay current on all laws and regulations relating to software as a service and B2B technology.
•High level of integrity and professional ethics.
•Demonstrated experience establishing credibility and rapport with executive-level management is a plus.
