YOUR IMPACT
OpenText is looking for a talented Director, Finance M&A to join our strategic finance team and support our inorganic growth priorities. This role reports directly to the Vice President, Accounting & Reporting which provides for great impact and exposure with OpenText’s senior business, operations, and technology leaders. The Director, Finance M&A is responsible for providing overall leadership to the Finance M&A team and acting as the lead finance representative, supporting all finance functions throughout the deal lifecycle.

WHAT THE ROLE OFFERS
- Provide overall financial leadership throughout the deal lifecycle from diligence to close.
- Build strong working relationships to drive key finance related M&A & post close integration initiatives. This includes partnering with cross functional teams including corporate development, corporate accounting & reporting, international controllership, corporate and indirect tax, transfer pricing, treasury, financial planning & analysis, revenue recognition, legal, and operations, among others.
- Lead a team of 1-2 professionals.
Diligence to Close
- Represent all finance team functions during the diligence process, by partnering with the Corporate Development M&A team to support their evaluation of the financial merits of potential transactions. This includes identifying diligence findings impacting business modeling and valuations as they relate to internal and external financial reporting, US GAAP accounting, cashflows, and working capital projections.
- Identify cross-functional inter-dependencies and gaps between finance and operational teams that require attention either before or after the deal close.
- Review definitive agreements ensuring adequacy of representations and indemnities to cover financial and reporting risks identified during diligence.
- Support net working capital negotiations and lead the post close calculation and settlement of net working capital.
- Partner with cross-functional teams to develop and execute transition service agreements, as required.
Post Close Integration of Finance & Reporting Activities
- Responsible for completing purchase price accounting including the preparation and accounting for purchase consideration and delivery of the opening balance sheet. This includes leading the post close transition to US GAAP accounting standards and OpenText policies, as required.
- Lead valuation of acquired intangibles for purchase price accounting including coordinating with external valuation consultants and internal business teams to assess valuation assumptions.
- Prepare post close legal entity valuations and record journal entries to pushdown acquired intangibles and goodwill to legal entities, as required.
- Act as a key point of contact with external auditors with respect to all M&A deliverables to support the completion of the annual audit and quarterly reviews of the consolidated financial statements.
- Manage relationships with professional services advisors to ensure efficient delivery of services.
- Lead the preparation of pro forma financial statements, as required.
Controllership Support
- Lead the preparation of legal entity valuations, as required, for statutory legal entity mergers or liquidations, and in support of annual statutory legal entity goodwill impairment testing.
- Other projects as assigned
WHAT YOU NEED TO SUCCEED
- Minimum 10 years of relevant experience in various M&A and valuation roles (buy & sell side) at a senior level, preferably with both a large public accounting firm and industry roles at large multinational software or tech organizations.
- Accounting designation required. Preference for CPA, CA or US CPA designation.
- CBV or similar valuation designation preferred.
- Knowledge of US GAAP accounting preferred.
- Proven self-starter with the ability to balance multiple tasks of competing priorities in a changing and dynamic environment.
- Exceptional communication and interpersonal skills with the ability to effectively facilitate or lead cross-functional teams.
- Experience interacting with senior management and executive levels with a proven ability to assess business risk and escalate to management with appropriate alternatives.
- Strong analytical and decision-making abilities with a high attention to detail.
